			<content:encoded><![CDATA[<p>This VoIP Service  Supplement (“VoIP Supplement”), together with the Service Orders under which  Customer orders Airband VoIP Services (“VoIP Services” or “Services”) and the Airband  Standard Terms and Conditions (“Standard Terms and Conditions”) found at <a  href="http://www.airband.com/GeneralTerms&#038;Conditions011510.pdf">http://www.airband.com/GeneralTerms&amp;Conditions011510.pdf</a> are collectively  referred to herein as the “Agreement.”   The Agreement will govern Customer’s use of VoIP Services and provision  of VoIP Services by Airband or any of Airband’s Affiliates.</p>
<p><strong>1.    <u>Services  Description</u>.</strong>  VoIP  Services are an Internet Protocol (IP)-enabled communications service with  voice functionalities.  The  functionalities and features of VoIP Services are set forth on the applicable  Service Order and may change without notice.   In no event shall Airband be required to provide more features or  functionalities that what is available on the hardware and software used by  Airband to provide the VoIP Services.   Airband may, in its sole discretion, require that Customer bundle the  purchase one or more types and volumes of Services, whether VoIP Services or  other Services.  The bundled Services and  rates for such Services shall be set forth on the applicable Service Order or  in the rate sheets referred to in this VoIP Supplement.  A general description of the different types  of VoIP Services are as follows:   </p>
<p>a.      <u>Domestic Long Distance</u>.   Domestic Long Distance Services allow Customer to terminate traffic to  the Public Switched Telephone Network (“PSTN”) in the 48 contiguous United States and the District of Columbia using an IP  interface.  </p>
<p>b.      <u>International Long Distance</u>.  International Long Distance Services allow<u> </u>Customer to terminate traffic to international locations, as such  international locations are set forth on the calling rates posted at <a  href="https://webapps.airband.com/airbandonline/SupportCenter/VoIPGuides/tabid/172/Default.aspx">https://webapps.airband.com/airbandonline/SupportCenter/VoIPGuides/tabid/172/Default.aspx</a> Customer shall pay Airband the rates for International  Long Distance posted on the date such calls are initiated.  Rates for International Long Distance are  subject to change without notice by Airband posting new rates at the webpage  referenced in this paragraph. </p>
<p>c.      <u>Toll Free Services</u>.  Toll Free Services allow Customer to receive  8XX toll free traffic from the PSTN using an IP interface.      Customer shall pay Airband  the rates for Toll Free Services within the contiguous 48 United States  as set forth on the Service Order.   Customer shall pay Airband for extended US and international toll-free  calling at Airband’s rates effective on the date such use is initiated.  Extended US and International calling rates  and geographical locations are posted at <a  href="https://webapps.airband.com/airbandonline/SupportCenter/VoIPGuides/tabid/172/Default.aspx">https://webapps.airband.com/airbandonline/SupportCenter/VoIPGuides/tabid/172/Default.aspx</a> Rates are subject to change without notice by Airband  posting new rates at the webpage referenced in this paragraph.</p>
<p><strong>2.    <u>Local and Inbound Calls Threshold</u>.</strong>   If, over any consecutive  three month period, the monthly average per Station (if Hosted-Station-Based)  or per line (Line-Based) or per Trunk (if Trunked-Based) of Customer’s use the  Services for Local Outbound Calls plus all Inbound Calls equals or exceeds  1,250 minutes of use, Airband shall have the right without notice, to charge  Customer in the future for the Services in accordance with a rate plan  reflecting such use.  Airband’s records  shall be the sole basis for all calculations described in this section.  Local Outbound Calls are all calls that,  according to Airband’s records, originate from the Customer location set forth  on the Service Order and terminate in the same local calling area, as that  local calling area is defined by the incumbent local exchange carrier.  Inbound Calls are all calls that, according  to Airband’s records, terminate at the Customer location set forth on the  Service Order regardless of where such calls originate.</p>
<p><strong>6.    <u>Caller ID</u>.  </strong>Customer shall  not change its outbound caller identification number.&nbsp; In the event that  the Customer does change any of its outbound caller identification numbers,  Airband reserves the right to charge Customer an additional $0.10 per minute  surcharge to all outbound minutes. </p>
<p><strong>7.    <u>Fraud Prevention</u>.  </strong>Customer has the  sole responsibility to monitor and prevent fraud on their VoIP Service and ensure  the security of its voicemail password and portal passwords.&nbsp; Passwords  should be a minimum of 6 digits, non-repeating, non-patternized or sequential  numbers.&nbsp; The customer shall be financially responsible to Airband for any  fraudulent usage charges incurred, regardless of Customer’s involvement. </p>
<p><strong>8.    <u>Predictive Dialers</u>.  </strong>VoIP Services do  not support predictive dialer applications.  In the event that one of the two following call  types occurs, Airband reserves the right to apply additional charges as  follows: </p>
<p>a.      <u>Unanswered Calls:</u> If less than 60% of  Customer’s total call attempts are completed (or more than 40% are incomplete)  in any calendar month per trunk, lines or hosted station, Airband reserves the  right, at Airband’s sole discretion, to either disconnect the circuit or to  charge $10 per month per trunk, line or hosted station.</p>
<p>b.      <u>Short duration calls:</u> If 10% or more of Customer’s completed calls are equal to or less  than 6 seconds in length (each a “Short Duration Call”) during any calendar  month, Airband reserves the right to charge an additional $0.01 surcharge per  Short Duration Call, which surcharge shall be in addition to Customer’s other  charges.</p>
<p><strong>9.    <u>Additional  Provisions</u>.</strong></p>
<p>a.       Customer acknowledges that the voice-enabled Airband Equipment  used to provide VoIP Services requires electricity to work, and that the VoIP  Services, including the ability to access 911 services and home security and  medical monitoring services, may not operate in the event of a power outage or  if Customer’s internet connection is disrupted or not operating for any reason.   Customer further acknowledges that any  battery included in the voice-enabled Airband Equipment may enable back-up  service for a limited period of time or not at all during power outages, and  that inclusion of the battery does not ensure that VoIP Services will be  available in all circumstances. </p>
<p>b.       Airband will not be responsible for any losses or damages  arising as a result of the unavailability of VoIP Services, including but not  limited to inability to reach 911 or other emergency services, or to contact Customer’s  security or monitoring systems provider. Airband does not guarantee or  represent that the VoIP Services will operate with any security or monitoring  services.  Customer shall be solely  responsible for contacting all of Customer’s security and/or monitoring  providers to test Customer’s system’s operation with the VoIP Services. Customer  shall be solely responsible for the cost of any such testing and any fees for  configuring Customer’s security or monitoring systems to work with the VoIP  Services.  Customer further acknowledges  that the Services are subject to certain laws and regulations and that Airband  reserves the right to modify the Service or require Customer to provide  additional information or make changes for Airband to continue providing the  Service in compliance with any applicable laws or regulations.</p>
<p>c.      The location and address associated with VoIP Services will be the  address identified on the Service Order.  Customer shall not move Airband Equipment from  the location and address in which it has been installed unless otherwise  consented to by Airband.  If the  voice-enabled Airband Equipment is moved to an address different than that  identified on the Service Order, calls from the voice-enabled Airband Equipment  to 911 will appear to 911 emergency service operators to be coming from the  address identified on the Service Order and not the new address.  </p>
<p>d.      In the event of a material  error or omission affecting Customer’s directory listing information,  regardless of form or fault by Airband, including the erroneous inclusion in  published directory listings of any information that Customer intends not to  have published, Customer’s sole remedy shall be a service credit in an amount  set by Airband’s then-current standard policies or an amount prescribed by  applicable regulatory requirements, whichever is greater.&nbsp; Airband shall  have no other liability for errors, omissions or mistaken inclusions in  directory listings.&nbsp; </p>

<p><u>1. Services Description</u><strong>.  </strong>Point-to-Point Private Line is a wireless service providing a  prescribed bandwidth connection between two customer locations for the purpose  of data transmission. The primary components of this service are Airband owned  transmission radios which align end to end by obtaining and maintaining “line  of sight” between the customers locations. The handoff to the customer’s  termination equipment will typically be Ethernet. Airband will “drop” this Ethernet  cable handoff to customer’s demarcation point, (subject to possible additional  fees) within customer’s building, according to allowable building permissions  and codes. Airband will charge customer, and customer will pay a Monthly  Recurring Charge and a Non-Recurring Charge for use of this point-to-point  connection.<strong></strong></p>
<h2>P2P PL Service is an off-net  service in that the circuit does not traverse the existing Airband core  network. </h2>
<p><u>2. Service Upgrades</u>.  Customer may upgrade existing P2P PL before a Service  Term for that Service expires without incurring early termination liabilities  for the terminated Service if Customer submits a Service Order for the upgraded  P2P PL in strict compliance with the following:   (A) The upgraded Service is at the same locations as the replaced Service;  (B) the Service has greater bandwidth than the replaced Service; (C) the  Service is installed before the replaced Service is disconnected; and (D) the  upgraded Service has a Service Term equal to or greater than the remaining Term  of the replaced Service, subject to a one year minimum Service Term from the  Service Activation Date of the upgraded Service; and (E) Customer pays the NRC  associated with the upgraded Service.  All  Service upgrades are subject to Airband’s acceptance, and Airband shall have no  obligation under any circumstances to accept any request for a Service upgrade.</p>

<p>The Airband IP Address Policy has been created with guidance from various Request For Comments documents (RFCs) and the existing policies of the RIRs from which Airband obtains IP addresses. See www.arin.net/policy/nrpm.html</p>
<p>Due to the dynamic nature of the Internet, Airband reserves the right to change this document at any time without prior notice. Please check the Airband website for the latest version of this policy, as the latest version of the policy will supersede all others.</p>
<p>Airband Communications distributes IP addresses with three goals in mind:</p>
<ul style="list-style-type:decimal; list-style-position:inside">
<li>
Conservation: The objective is distribution of globally unique IP address space according to the operational needs of customers. Airband tries to prevent stockpiling in order to maximize the utilization of IP address space.</li>
<li>Routability: The distribution of globally unique IP address space in a hierarchical manner, which permits scalability in the Internet routing table. The loan of IP address space by Airband Communications does not guarantee routability, due to other ISPs routing policies.</li>
<li>Registration: Airband is required by ARIN (American Registry for Internet Numbers) to provide information on which entity is using the IP space. This information can be provided to ARIN either via SWIP or an RWhois server. If a customer is assigned IP addresses, the customer information will be added to our ARIN update. This information includes: customer&#8217;s name, company name if a business, postal address, e-mail address, IP address, and telephone number.</li>
</ul>
<p>Airband Communications realizes that conservation and routability can be conflicting goals. Airband Communications will review individual cases when there are conflicts to try to work out an appropriate compromise.</p>
</li>
<li><strong><a name="2"></a>Guidelines for Customers</strong> <a href="#top">^Top</a>
<p>Airband Communications has developed the following guidelines that will be applied to customer requests for IP address space:</p>
<ul style="list-style-type:decimal; list-style-position:inside">
<li>IP addresses are loaned in blocks that conform to Classless Inter-Domain Routing (CIDR) boundaries. Customers should use classless technologies and routing protocols that support variable length subnet mask (VLSM). </li>
<li>IP addresses are loaned for the duration of the customer&#8217;s connection to the Airband network and must be routed on the Airband network. In the event that the customer disconnects from the Airband network or stops routing the addresses on the Airband network, a 30 day grace period will be given for the customer to renumber out of their loaned IP address space. </li>
<li>At no time shall a current Airband customer use and/or announce Airband IP addresses that have not been specifically assigned to them. Former Airband Communications customers and non-customers may not use and/or announce any Airband IP addresses except in cases where a formal agreement has been reached (e.g. BGP multihoming). Unauthorized use and/or announcement of Airband Communications IP addresses will result in the immediate reclamation of the unauthorized IP addresses and may jeopardize current and future IP address loans from Airband Communications.</li>
<li>In the event that a Airband Communications customer (Customer A) acquires/merges/takes over another Airband Communications customer (Customer B), the resulting customer of record will be required to renumber &#8220;Customer B&#8221; into IP address space assigned to &#8220;Customer A&#8221;. Should the resulting customer require additional space to accommodate this renumbering, they will need to complete an IP Address Justification (IPJ) form (documenting their address space utilization) for review and approval by Airband Communications. </li>
<li>At any time, Airband Communications may require a customer to justify its IP address loan. If the customer is unable to do so, its ability to obtain future loans may be jeopardized and its existing loan may be revoked. </li>
<li>IP addresses are loaned to customers using a &#8220;slow-start&#8221; process. New customers will receive a minimal loan based on their immediate requirement. Thereafter, the size of loaned IP address blocks may be increased based on the speed that the customer utilizes all previously loaned IP address blocks. </li>
<li>RIRs may set a maximum size of the IP address loan that Airband Communications is allowed to make. If a customer requests a loan size that is above the RIR size limit, the RIR reserves the right to review and approve the loan. The RIR may have different guidelines than Airband Communications does for reviewing and approving the loan and the customer would be required to adhere to the RIR&#8217;s guidelines in this instance. </li>
<li>Due to the limited availability of IP (v4) address space, the practice of assigning a unique IP address per dialup user is discouraged. </li>
<li>The Internet community filters IPV6 announcements based on the IPV6 allocations from ARIN. The allocations (and filtering) are necessary in order to minimize routing table expansion. Any customer requiring BGP multi-homing, now or in the future, should apply for Provider Independent (PI) IPv6 space directly from ARIN. ARIN can also allocate /48 critical infrastructure space if justified (eg. root domain operators). Customers with multiple connections to the NTT network may announce longer prefixes along with their ARIN allocation to effectively manage their inbound traffic, but the longer prefixes will not be propagated beyond the AS2914 backbone. <li>When a customer requests an IP address space loan from Airband Communications that will be used for IP-based web hosting, the customer will need to provide technical justification as to why they are providing IP-based web hosting instead of name-based web hosting. Airband Communications is required to provide this information to the RIRs. </li>

<li><strong><a name="3"></a>Limitation of Use</strong> <a href="#top">^Top</a>
<p>Before Airband Communications makes an IP address loan to a customer, the following documentation must be submitted by the customer. Airband Communications will not begin the IP address loan process until all of the required documentation has been submitted. </p>
<p>At no time shall a current Airband Communications customer use and/or announce Airband Communications IP addresses that have not been specifically assigned to them. Former Airband  customers and non-customers may not use and/or announce any Airband Communications IP addresses. Airband Communications customers may not announce Airband IP addresses outside the Airband network except in cases where a formal agreement has been reached (e.g. BGP multihoming). <li>Airband Communications IP Address Justification form.</li>
<li>Documentation of existing IP address space usage. This shows how any space the customer has is currently being used, along with projections for the next 3 and 6 months.</li>
<li>Documentation showing how the requested IP space will be used. This shows how the customer plans to use the space immediately, along with projections for the next 3 and 6 months.</li>
<li>A network topology map for all requests of 128 IP addresses (/25) or larger. </li>
<li>A description of the network routing plans, along with any protocols used and the protocol limitations. </li>
<li>For customers requesting space for web hosting, a list of IP addresses currently being used for web hosting, and a list of domains being hosted. If IP-based hosting is being done, a list of technical reasons why named-based hosting cannot be done must be included. </li>
</ul>
<p>This information will be used by Airband Communications ONLY to justify the loan of IP addresses to a customer. The information may also be given to the RIRs if they request it as part of reviewing their loans to Airband Communications.</p>
<p>Airband Communications reserves the right to amend this policy at any time.</p>

<ul >
<li class="one"><strong>Services Description</strong></li>
<li>
<p>PIP VPN is an OSI model Layer 2 or Layer 3 “tunnel” through the Airband Network creating a virtual private network connectivity between the customer locations for the bandwidth goal set forth on the applicable Service Order and described in the design diagram prepared by Airband, approved by Customer (“Design Diagram”).  The Design Diagram is incorporated herein by this reference.  IP VPN utilizes IP addresses typically assigned by the customer, but can be assigned by Airband upon request and qualification pursuant to Airband’s then-existing policies.  If assigned by customer, Airband shall have no responsibility or liability in connection with IP addresses.</p>
<p>Private IP VPN provides Customer with access to the Airband network through a connection into a router or switch as set forth in the Design Diagram. The primary service components for the Services are a port and customer access on each end of the PIP VPN tunnel.  Airband will charge Customer, and Customer will pay, a Monthly Recurring Charge and a Non-Recurring Charge for the Service.  </p>
</li>

<li class="three"><strong>IP Address Assignment and Registration</strong></li>

<p>Airband assigns IP addresses through the American Registry for Internet Numbers (&#8221;ARIN&#8221;). IP addresses issued by Airband are not portable.  Airband will assign Customer the number of IP addresses Customer set forth on the Service Order.  Additional assignments may be made upon request, at the discretion of Airband.  If not specified on the applicable Service Order, Airband will issue Customer two IP addresses.  Airband retains control of all IP addresses issued to Customer&#8217;s end-users. Upon cancellation of the Services or termination of the Agreement, all IP addresses assigned by Airband will be disabled.</p>
